Welcome to PrimeVest AI. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and PrimeVest AI (“PrimeVest AI,” “Company,” “we,” “us,” or “our”), concerning your access to and use of the PrimeVest AI platform, website, software, data feeds, and related algorithmic execution services (collectively, the “Platform”).

By accessing or using any portion of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

1. Eligibility and Account Registration

To access the Platform, you must be at least 18 years of age and hold the legal capacity to enter into binding agreements. By opening an account or utilizing PrimeVest AI services, you warrant that your participation complies with all local, state, and federal laws and regulations applicable to you in the United States or your jurisdiction of residence.

You are solely responsible for safeguarding any credentials, API keys, or access tokens linked to your account. You agree to immediately notify PrimeVest AI of any unauthorized use or security breach. PrimeVest AI will not be liable for any losses arising from your failure to maintain the confidentiality of your authentication details.

2. Platform Nature and Informational Purpose

PrimeVest AI provides algorithmic trading software, technical market signals, and trade execution interfaces across digital assets, foreign exchange, and equity contracts. You acknowledge and agree that:

PrimeVest AI is a technology service provider and is not registered as an investment adviser, broker-dealer, commodity trading advisor (CTA), or futures commission merchant with the U.S. Securities and Exchange Commission (SEC) or the Commodity Futures Trading Commission (CFTC).
The Platform does not manage client discretionary funds, provide personalized investment recommendations, or render financial, tax, or legal advice.
All automated models, simulated projections, and statistical indicators reflect computational algorithms and do not guarantee future market behavior or capital preservation.

3. User Responsibilities and Prohibited Activities

When operating the Platform, you agree to configure your risk controls, stop-loss thresholds, and position limits conscientiously. Furthermore, you agree not to engage in any of the following prohibited behaviors:

Reverse-engineering, decompiling, or attempting to derive the proprietary algorithmic models, source code, or internal logic of the Platform.
Deploying external bots, scrapers, or automated flood scripts designed to disrupt the responsiveness or integrity of Platform infrastructure.
Engaging in market manipulation, wash trading, spoofing, front-running, or other unlawful market conduct prohibited by applicable securities or commodities statutes.
Using the Platform for any money laundering, sanctions evasion, terrorist financing, or other illicit financial activities.

4. Subscription, Fees, and Payments

Certain components of the Platform may be subject to recurring subscription fees or execution licensing charges. All fee schedules are disclosed prior to activation. You agree to pay all applicable fees on time. All fees paid are non-refundable except where required by applicable consumer law. PrimeVest AI reserves the right to modify pricing schedules upon reasonable advance notice posted on the Platform.

5. Intellectual Property Rights

All software architectures, data pipelines, visual interfaces, graphics, trade names, and trademarks associated with PrimeVest AI are the exclusive intellectual property of the Company and its licensors. Subject to your strict compliance with these Terms, PrimeVest AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform strictly for your internal, lawful trading activities.

6. Limitation of Liability and Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED EXECUTION SPEED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMEVEST AI, ITS DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, TRADING LOSSES, CAPITAL DEPLETION, OR NETWORK DISRUPTIONS RESULTING FROM YOUR USE OF THE PLATFORM.

7. Indemnification

You agree to indemnify, defend, and hold harmless PrimeVest AI and its affiliates from and against any claims, liabilities, damages, losses, and reasonable legal expenses arising out of or in any way connected with your breach of these Terms, improper use of the algorithmic systems, or violation of third-party exchange terms.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through confidential, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.

9. Amendments and Contact

PrimeVest AI reserves the right to revise or update these Terms at any time. Material changes will be posted on this page with an updated “Last Updated” date.
